*804 1. Where a loan is extended, the principal of such extended loan including the unpaid balance of principal, representing in part cost and in part unrealized discount, and, in some instances, an increase in principal, the commission charged for the extension being added thereto or paid in cash, the unrealized discount, a part of the principal of the new loan, is income in the taxable year in which such extension is made, taxpayer's books being on the accrual basis.
2. Where taxpayer purchased mortgage loans through brokers at a discount and kept its books on an accrual basis, only the amount of discount actually earned in each year, whether paid or not, is includable in taxable income.
3. Where taxpayer for a commission endorsed loans of its clients made with banks and a check or time certificate was issued in its name for the amount of the commission, the check or time certificate after endorsement by it being retained by the bank as additional security for the loan, such commission is income in the taxable year in which the endorsement is made.
4. Where certain loans were foreclosed and the evidence merely discloses the amounts of unpaid balances, amounts of unrealized*805 discounts, and prices bid by the petitioner for the properties, the action of respondent in disallowing claimed losses in such transactions must be approved, there being no evidence as to whether the unsatisfied balance could be collected with or without a deficiency judgment, as to whether such judgment had been or could be obtained, and as to other essential facts bearing upon the deductibility of such claimed losses.
5. Where the compensation of an employee is by contract based upon the net income of taxpayer and the taxpayer has failed to show that the respondent erroneously deducted officers' salaries from gross income to determine the net income upon which the employee's compensation is computed, the determination of respondent of the employee's salary, deductible as a business expense, must be approved.

Petitioner alleges that the respondent erred (a) *806 in including in taxable net income for 1926 an item of "Loss on foreclosures" and for 1927 an item of "Profit on foreclosures"; (b) in failing to include in the basis upon which the compensation of Julius Van Raalte was determined by him the salaries of the officers of the petitioner; (c) in determining that payments on notes owned by petitioner were in part repayments of cost and in part payments of discount, and in treating the portion allocated to discount as income; (d) in treating the unpaid balances of discounts unrealized at the time when the time for payment of the note was extended, as income earned at the time of such extension; and (e) in treating the amounts of commissions on endorsements as earned at the time the endorsement was made. Our findings of fact are based in part upon proof adduced at the hearing and in part upon written stipulations of the parties.
FINDINGS OF FACT.
The petitioner is a Missouri corporation, having its principal office in St. Louis, Missouri. Its only stockholders are Simon Van Raalte, its president from 1924 to 1927, inclusive, Abe Cohn, and Lou Cohn.
During all the years involved the petitioner was engaged in the business of buying*807 and selling notes secured by first and second deeds of trust or mortgages on real property and endorsing notes for others on collateral loans with banks.
*920 The earnings of the petitioner consist of discounts on notes purchased and commissions received as endorser on loans made from banks by its clients.
The petitioner bought mortgages or deeds of trust, mostly seconds, through brokers, at a discount. When purchasing these notes petitioner expected to receive full payment on them. However, some of them were not paid in full. At times petitioner was required to extend the time of payment. These extensions were made by the cancellation of the old notes and deeds of trust and the execution of new notes and deeds of trust. The petitioner, as a rule, was compensated for such extensions and its commission therefor was either added to the amount of the principal or paid in cash. Some extensions involved the lending by the petitioner of additional amounts to the makers of the original notes and deeds of trust.
The petitioner bid in and purchased at "formal" foreclosure sale three properties known as (1) 5490 Loughborough Avenue, (2) 1319 Woodland Avenue, and (3) 1323*808 Woodland Avenue, for $500 each, which were foreclosed in 1927. The aggregate balance unpaid on the notes secured by these three properties at the time of foreclosure was $7,540.06 and the aggregate unrealized discount thereon at the time of foreclosure was $1,180.50. The petitioner attempted to resell these properties, but it still owns them, except the Loughborough Avenue property which was foreclosed under the first deed of trust and lost to petitioner.
The petitioner also had applications for loans which it was not in a position to make. The applicants would then apply to banks, which would not loan such applicants money unless they obtained satisfactory endorsements. The petitioner endorsed such applicants' collateral notes secured by deeds of trust. The bank paid the maker of the note the principal thereof, less the commission due petitioner. Usually the bank issued a time certificate to the petitioner covering the amount of its commission, which petitioner endorsed to the bank to be held by the bank until the entire loan was paid. The bank paid its regular interest on such time certificates issued to petitioner in these transactions, which was paid to petitioner at*809 the time the certificates were released and the loan paid in full. In some instances the bank issued two checks to the borrower, one covering the amount of the loan less the commission payable to the petitioner, and the other covering the amount of the commission. The borrower endorsed the check for the commission to petitioner and petitioner deposited such check with the bank as additional security on the note, which was retained by the bank until the note was paid in full.
The petitioner had in its employ during 1924 to 1927, inclusive, Julius Van Raalte, under a written contract of employment dated *921 January 20, 1922, which provided that as compensation for his services he was to receive:
* * * a sum equal to 25% of the net earnings arising out of the operations of party of the first part during the term of this agreement. Net earnings are to be determined by deducting all legitimate expenses of whatsoever kind or character, including taxes, from the gross earnings; also a further deduction of a sum equal to six per cent per annum on the actual capital and surplus of party of the first part as established at the beginning of the current year; adjustment of capital*810 and surplus accounts either by additions thereto or subtractions therefrom, during the current year to be taken into the accounting at the rate of six per cent annum.
This contract was amended in writing under date of January 2, 1923, by a rider so as to provide:
* * * any salaries paid to the Stockholders of the Vancoh Realty Co. shall not be taken into the accounting of expenses deductible in providing compensation due J. R. Van Raalte under the terms of said contract.
This contract was again amended in writing under date of July 1, 1926, so as to provide that the compensation of Julius Van Raalte, mentioned therein, should be "33 1/3% instead of 25%."
In his computation of the compensation of Julius Van Raalte, the respondent used therein the net income of petitioner as determined by him after deduction for officers' compensation in the following amounts: 1924, $12,000; 1925, $20,000; 1926, $20,000; and 1927, $20,000.
The petitioner accrued on its books of account the following amounts as the compensation of Julius Van Raalte: 1924, $7,637.81; 1925, $14,679.25; 1926, $12,868.12; and 1927, $13,938.51.
The account of Julius Van Raalte in the petitioner's ledger showed*811 that such account had a debit balance at the end of each year, after his compensation had been credited therein, as follows: December 31, 1924, $2,544.53; December 31, 1925, $6,200.18; December 31, 1926, $24,420.96; and December 31, 1927, $38,757.25.
In computing the taxable net income of the petitioner, the respondent revised the compensation of Julius Van Raalte to conform to the net income as computed by him and, as appears from the statement attached to the notice of deficiency herein, he computed such compensation to be as follows: 1924, $8,000.19; 1925, $9,969.54; 1926, $15,516.66; and 1927, $26,953.05.
During all the years 1924 to 1927, inclusive, the petitioner kept its books of accounts on an accrual basis.
We have here set forth the substance of so much of the written stipulations of the parties as is necessary to an understanding of the proceeding and adopt the remainder thereof by reference thereto as if herein fully incorporated.
*922 OPINION.
MCMAHON: It has been repeatedly held by the Board and the courts that where the books of a taxpayer, engaged in the business of making mortgage loans, are kept on a cash receipts and disbursements basis, discounts*812 or commissions on such mortgage loans deducted from the principal of such loans at the time made constitute income in the year the notes secured by mortgage are either paid in full or sold.
Where the books of a taxpayer engaged in the business of making loans are kept on an accrual basis, it has been held that discounts or commissions deducted from the principal of the loans at the time such loans are made constitute income in the year the loans are made.
As appears from our findings in the instant proceeding, on the extension or renewal of a loan a new note and deed of trust was executed and the commission or discount charged for each such extension was paid in cash or was added to the unpaid principal of*813 each loan, the unpaid principal representing in part cost and in part unrealized or unearned discount. The respondent included the amount of such unrealized discount in taxable income in the year the extension or renewal was made. In the instant proceeding the petitioner purchased existing loans its books were kept on an accrual basis, no part of the discount shoudl be included in income until the entire cost of each loan has been paid in full, since it had no reasonable assurance that the notes would be paid in full or that the discounts at which such notes were purchased would be recovered. In so far as the record discloses the loans purchased were all definitely fixed obligations of the borrowers or makers of the notes and mortgages and were not subject to any contingency of payment before due date or otherwise. The possibility of nonpayment of a debt is inherent in every obligation to pay but this does not*814 change a fixed obligation to pay into a contingent *923 liability.

The respondent determined the amount of discount includable in taxable income for each year by allocating thereto a certain prorata portion of each payment of principal received by the petitioner. This method is not correct where the books are kept on the accrual basis, as the discount is accruable as earned and not as paid and *925 some of the payments in one year allocated to discount may be applicable to discount earned and accrued as income in a prior*819 year. His computation of the amount of discount includable in income for each year involved is therefore disapproved, and a recomputation must be made under Rule 50.
As to the commissions earned by the petitioner on account of endorsing loans of its clients made at banks, it appears from the evidence that the petitioner received payment of its commissions by checks or time certificates, that it endorsed the checks or time certificates, and that such time certificates or checks covering the commissions were held by the banks merely as additional security or collateral for the loans. Such certificates or checks were held by the bank in the name of the petitioner and belonged to the petitioner. Such commissions represented income when the loans were made by the bank and were properly accruable on petitioner's books of account as income in the year the endorsements were made. That petitioner permitted the bank to retain such items as security for the payment of the loans has no bearing upon the character of the payments as income. The action of respondent in so treating these commissions is therefore approved.
The amounts of the unrealized discounts on extensions or renewals*820 and commissions for endorsing loans to be added to income have been stipulated and in the recomputation under Rule 50 effect will be given to such stipulation in accordance with our conclusions herein pertaining to such discounts and commissions.
No evidence was adduced by petitioner pertaining to the amount of $1,574.73 representing "Loss on foreclosures" in 1926 as adjusted by the respondent. The adjustments pertaining to this item must therefore be approved.
In 1927 the petitioner bid in three properties on foreclosure. It contends that the loss to which the petitioner is entitled on these transactions is reflected in the net loss of $5,372.25 reported in its return and disallowed by the respondent. There is no evidence to show how the petitioner computed such net loss. In the revenue agent's report (respondent's Exhibit A) it is stated, in substance, that the reported loss on sale of foreclosed property in the amount of $5,372.25 was disallowed on account of erroneous manner of computation, and that a recomputation had been made and the amount of $17,886.47, representing "Profit on Resale of Foreclosed Property" substituted therefor. *821 The petitioner claims that it is entitled to a loss deduction on these transactions of the difference between the balances unpaid on the loans of $7,540.06 and the bid price of $1,500, *926 or $6,040.06. Under article 153, Regulations 69, 1 a deficiency on foreclosure may be deducted as a bad debt for the taxable year in which it is ascertained to be wholly or partially worthless and charged off; and in addition a loss may be deducted for the difference between the fair market value of the property and the amount of the face value of the obligations of the debtor which are applied to the purchase or bid price, to the extent such obligations represent capital or an item the income from which has been returned. A mortgagee may foreclose the mortgage upon default or bring suit upon the note or may foreclose and bring suit on the note at the same time. In O.D. 687,
* * * since the mortgagee may maintain an action against the mortgagor for the amount of the debt, it is not sufficient, in order to deduct the amount as a bad debt that he show only a foreclosure of the security as the mortgagor may be solvent and the debt collectible; *822 but he must also show that legal action against the mortgagor resulted in no recovery, or that such action would in all probability not result in the satisfaction of execution on a judgment.
*823 No evidence was adduced as to whether the unsatisfied balance could be collected without a deficiency judgment, as to whether or not a deficiency judgment could have been or had been obtained, as to whether or not such deficiency judgment, if any, was uncollectible, or as to any other essential facts bearing upon the deductibility of the loss, if any, except the amount of the bid price, $1,500, the total amount of the indebtedness remaining undischarged, $7,540.06, and the total of the unrealized discounts, $1,180.50. There is no showing that the unrealized discounts had been theretofore reported as income. Since the respondent disallowed the claimed losses, the burden of proof rested upon the petitioner. The evidence is insufficient to overcome the prima faice correctness of the respondent's determination.
